New Changes Create Better Quality and Service

Dear Valued Customer,

Conetic Software would like to inform you of several changes in policy that have been designed for your benefit. We believe that you will find these to be exceptionally valuable, as we are offering more streamlined services and quality enhancements. The policies below will take effect July 15, 2008. The items discussed below deal with our new “Annual Subscription Agreement”, a new pricing module called “Time Pay”, the new software bundle of C/Books – which we have labeled our “Personal Edition”, and “Custom Programming Services” direct from Conetic

Annual Subscription Agreement

This new agreement is intended to provide better service and support for our customers. Aside from providing patches and updates, it also provides upgrades from version to version. Customers will be allowed to upgrade their hardware and operating systems without the need to worry about upgrade fees. It is also common for our customers to want to upgrade their server. A typical server upgrade includes a new operating system and server hardware. In the past, such upgrades would require the customer to pay Conetic upgrade fees. Today these fees have disappeared. A customer with an active “Annual Subscription Agreement” will be able to upgrade their Conetic software – module for module free of charge – assuming the customer:

• has an active Annual Subscription Agreement and

• continues to run on the same bit size code (32-bit for 32-bit) or (64-bit for 64-bit).

Example: An existing client is running on Red Hat Enterprise 4 X86 and Conetic Version 5.6. The client wants to upgrade to the latest Red Hat product. Since the client has an active “Annual Subscription Agreement”, the client will receive the new Conetic version for Red Hat Enterprise “5” x86 for free. No new fees, just load and go!

The “Annual Subscription Agreement” makes upgrade fees a thing of the past. However, new modules, additional users, and binary bit size change will be licensed under current policy (target module price – original module price = new license fee). Once licensed, the existing “subscription agreement” will be increased using a simple prorated formula. The cost for the “subscription agreement” is 10% of the current year retail price per module for first year customers, and 18% of the current year retail price per module for the subsequent years. As a protection to our customers, Conetic will limit the increase of the “Annual Subscription Agreement” fees to a maximum of 10% per year. Customers are not required to take the “Annual Subscription Agreement”. However, customers that do not subscribe to the “Annual Subscription Agreement” will NOT receive patches or updates after the first 90 days, and will be required to pay the full retail price for future upgrades.

Existing “Annual Support Agreement” customers will be transitioned to “Annual Subscription Agreements”. Customers running Conetic Version 5.6 are eligible for the “Annual Subscription Agreement”, but only for the next 30 days. Customers prior to Conetic Version 5.6 will need to upgrade in the next 30 days to receive the 50% discount and be eligible for “Annual Subscription Agreement”.

After July 15, 2008 the 50% upgrade discount will be discontinued!

Time Pay

This is a new pricing model that licenses the Conetic product for a single year at a time. The objective of “Time Pay” is to remove all up front burdens and questions when acquiring Conetic software. Time Pay is ONLY available for 32 and 64-bit Enterprise Linux, Solaris and Windows platforms. Included with each Time Pay system is the “Annual Subscription Agreement”. The formula for Time Pay is based on the “retail price”, divided by 25%, plus 15% of the retail price (so as to include the Annual Subscription Agreement).

Marketing Editions are not eligible for Time Pay.

Personal Edition

This aggressively priced suite targets very small businesses and is priced at $995 for a 4-user system with 7 modules. For VARs, this is a great product to get small customers exposed to C/Base 4GL and C/Books. Due to the pricing model, reseller discounts are not available for this edition. The Personal Edition contains:

• C/Base 4GL – Development and Database

• General Ledger Module
• Accounts Receivable Module
• Accounts Payable Module
• Inventory Module
• Order Entry Module
• Purchase Order Module
  
  Due to the pricing structure, the systems have several restrictions and limitations:

• Software is to be downloaded from Internet (no CD/DVD media provided).
• Installation support is handled strictly via e-mail.
• Application support is prepaid by purchasing a support ticket via the Internet. Current rates are $125 per ticket.
• Version/platforms will only be supported for 1 year. In order to continue support, the customer must purchase a new current release or upgrade to a “Marketing Edition”.

  Advanced development modules will not be made available for PE products. Modules like:

• C/Base Utilities (C API library)
• C/Books Utilities (C API library for the accounting modules)
• C/BaseX (ActiveX libraries)
• C/Base ODBC Client/Server
• C/Books Scan/Doc Imaging module
• Not eligible for the “Annual Subscription Agreement”
• No more than 4 users

  Currently supported operating systems:

• Fedora 8 (Fedora 9 coming soon)

• OpenSuse 10.3
• Ubuntu 7.10

Custom Support and Programming Services

These are available on a project-by-project basis. If requested, a project outline with a time line will be created and submitted for approval. All engineers’ time will be recorded using a quarter-hour convention. As policy, each engineer’s time will be itemized in detail. Conetic will billed twice a month (on the 16^th and last day of each month) for these services. The Conetic billing rate is $125 per hour using a quarter-hour billing convention. All invoices are due and payable upon receipt. Conetic can help resellers and/or customers get the most out of their Conetic software. Systems that are running an older version of C/Books can upgrade to the current version of C/Books. However, all existing transaction history can be used to collect statistics, which in turn can be used with the Dashboards.

Customization and Enhancement
Conetic Dashboard's underlying technology is ideal for companies to customize or enhance our standard dashboards to their unique business model. All Dashboard source code scripts, and reports are distribute with the product. CONETIC Software Systems, Inc. and portable bar code scanners! At the request of several customers, Conetic has successfully integrate wireless handheld bar code scanning PDA's with the C/Books server in Real Time.

The customers warehouse and manufacturing staff are now able to record the movement of inventory, track employee time, verify shipments and allot more using portable wireless devices. By using the Conetic Web Database Proxy and dynamic web pages -- Conetic was able to deliver a solution independent of the handheld device manufactures. The only requirements of the device is:

• it must be wireless (802.11b/g)
• it must have a bar code scanner or a SD slot for a scanner
• it must have a internet browser

This type of solution can help manage problem areas such as inventory shrinkage, incorrect shipments, and lost employee time.

Version 5.6 – Conetic's new release Embraces the Linux Desktop.
Conetic Software Systems, Inc. is proud to announce the availablity of Version 5.6. Version 5.6 is a major release that contains a significant number of new features. Features, such as a totally new “desktop Client” for Linux, improved forms printing, and a simpler yet easier on the eyes graphic menuing system.

New – Desktop Client --
The new native Linux client marks the completion of a project that has spanned several years. This new Thinclient allows the Conetic products to function in a graphical user interface natively on Linux. The new and improved “Thin Client” allows today's business to capitalize on the cost savings of 100% native Linux solutions, while also improving end-user production. The product enables end-users to perform more tasks, faster, and with little or no learning curve. Features like “multi-screen” windows, drill-down reporting, and simple report exporting (to spreadsheets or wordprocessing programs) deliver an enhanced feature rich end-user experience. The results are improved production and greater profitability for our customers.

New forms printing --
The new “forms printing” engine allows our customers a simple portable, fully editable forms printing engine for Windows, Linux and Unix platforms. This new forms printing engine merges our traditional “text” printing with predefined, editable forms. The system is delivered with editable standard form files in jpeg and Openoffice formats. As a result, the cost, and time to change or enhance a “Invoice form” or “Customer Statement” is greatly reduced. Version 5.6 puts all Version 5.6 users in control of their company image, by allowing them to modify the look of their companies forms.

Graphic menuing system --
The new graphic menuing system improves production, while also reducing the learning curve for new users. The new menus are maps to the processing of accounting data. Just follow the options, an before you know it your done! The secure, and fully editable menu system is written in html, thus allowing anyone that knows html the ability to enhance the menu to fit the customer requirements.
